Terms of Service

The plain-language terms that govern Nuvan's managed website plans and client work.

Effective date: October 1, 2026

Agreement and services

These terms apply when a client accepts a Nuvan proposal, statement of work, or service agreement. Nuvan provides managed website design, development, hosting, security, maintenance, and related services described in the accepted agreement. If a signed agreement conflicts with these general terms, the signed agreement controls.

Plans, terms, and invoices

Plans are offered at the price shown in the accepted agreement, with no setup fee unless a custom proposal expressly says otherwise. Standard contract terms are 3, 6, or 12 months. Invoices are issued on the 1st of each month and are due within 7 calendar days, known as Net 7. Billing is handled directly by invoice, not through online checkout.

Late or unpaid invoices may result in paused nonessential work or service after reasonable notice. Fees already earned for a current term are not refundable unless the written agreement says otherwise.

Client responsibilities

Clients must provide accurate business information, content, approvals, and account access needed to complete the work. Clients confirm that they have permission to use all supplied text, images, trademarks, customer data, and other materials. Timelines may move when required materials or approvals are delayed.

Domains and ownership

The client owns its domain name. Nuvan may manage DNS and registration settings with permission, but will not claim ownership of the domain.

Nuvan owns the website itself. The design, code, build, layout, graphics, and copy produced by Nuvan are part of the managed service the client is paying for, and remain the property of Nuvan. The client retains ownership of content it already owns and supplies, such as its photos, logo, contact information, business details, and other materials it provides for the site.

Access to the live website continues for as long as the client is an active subscriber. At the end of a completed contract term, and after outstanding invoices are paid, Nuvan will reasonably assist with transferring domain control and returning the client's own supplied content. The website design, code, and build are not transferred to the client.

When a subscription ends (in plain language)

  • Your website goes offline. The site Nuvan built is part of the service, so it stops being hosted when the subscription ends. We do not hand over the design, code, or files.
  • Your content comes back to you. Anything you gave us, like your photos, logo, text you wrote, and contact details, is yours. On request, we send it back to you.
  • Your domain stays yours. If we manage your domain, we help you move it to your own account or a new provider so you can keep using it.
  • Final invoices first. We finish the handoff once any outstanding invoices are paid.

Revisions and ongoing updates

Routine revisions include reasonable changes to existing text, photos, prices, hours, staff, services, and page sections within the selected plan. A new brand, full redesign, major ecommerce expansion, custom software, extensive new pages, or work beyond the plan scope may require a separate quote. Revision timing depends on complexity and timely client feedback.

Suspension, termination, and handover

Either party may end services at the conclusion of the agreed 3, 6, or 12-month term by following the notice requirements in the signed agreement. Material breach, unlawful use, or persistent nonpayment may permit earlier suspension or termination after notice when appropriate. Nuvan will provide reasonable handover assistance after the term and payment of outstanding balances.

Availability and liability

Nuvan uses reasonable care but does not promise uninterrupted service, specific search rankings, advertising results, sales, or revenue. To the fullest extent allowed by law, Nuvan is not liable for indirect, incidental, special, or consequential losses. Nuvan's total liability for a claim is limited to fees paid by the client during the three months before the event giving rise to the claim.

General terms

These terms are governed by Ohio law. If one provision is unenforceable, the remaining provisions continue. Changes to an active client agreement require written approval. Questions can be sent to hello@nuvan.dev or through the contact page.
